Definition

A registered agent is a designated individual or entity authorized to receive official legal and government correspondence on behalf of a business, including service of process, tax notices, and state compliance documents. Every LLC is required by state law to maintain a registered agent with a physical address in the state of formation or qualification. Failure to maintain a valid registered agent can trigger compliance penalties or administrative dissolution.
