Definition

Administrative dissolution is the involuntary termination of a business entity's legal existence by a state government due to failure to meet ongoing compliance requirements, such as missing annual report filings. In Florida, LLCs that fail to file their annual report and remain delinquent past the third Friday of September are subject to administrative dissolution. A dissolved LLC loses its legal protections and authority to conduct business until reinstated.
